Common use of Proprietary Information and Inventions Agreements Clause in Contracts

Proprietary Information and Inventions Agreements. Each former and current employee, officer and consultant of the Company and each former and current employee of the predecessors to the Company who has participated in the development of the Company's technology has executed a Proprietary Information and Inventions Agreement substantially in the form(s) of Exhibit F attached hereto. No current employee, officer or consultant of the Company has excluded works or inventions that are material to the business of the Company and that were made prior to his or her employment with the Company from his or her assignment of inventions pursuant to such employee, officer or consultant's Proprietary Information and Inventions Agreement.
