(“BROOKWOOD”) and NUPATHE, INC. (“NUPATHE”) that became effective on March 19, 2007. Now, therefore, in consideration of the mutual promises and covenants herein contained, NUPATHE and BROOKWOOD hereby agree to amend the AGREEMENT as follows:
