Property Management and Leasing Fees. If the Company retains the Advisor or its Affiliates to manage or lease any of its Properties, the Company will pay the Advisor or its Affiliates a market-based fee which is what other management or leasing companies generally charge for the management or leasing of similar properties, which may include reimbursement for the costs and expenses the Advisor or its Affiliates incurs in managing or leasing the Properties.

If the Company retains the Advisor or its Affiliates to manage or lease any of its Properties, the Company will pay the Advisor or its Affiliates a market-based fee in accordance with a separately negotiated Property Management, Leasing and Development Agreement to be approved by a majority of the Independent Directors Committee, which is such agreement may provide for fees similar to what other management or leasing companies generally charge for the management or leasing of similar properties, and which may include reimbursement for the costs and expenses the Advisor or its Affiliates incurs in managing or leasing the Properties.
