PROMISES AND COVENANTS REGARDING CONFIDENTIAL INFORMATION AND GOODWILL; POST-EMPLOYMENT RESTRICTIONS. In consideration of your promises and covenants contained in this Agreement, including your promise and covenant not to disclose Confidential Information set forth in Section 9.3, and in connection with your continued employment with the Company, the Company will provide you with Confidential Information necessary for you to execute your duties hereunder. In further consideration of your promises and covenants contained in this Agreement, including your promise and covenant to utilize the Goodwill exclusively for the benefit of the Company set forth in Section 2, and in connection with the Company’s continued employment of you, the Company will provide to you and allow you to utilize the Confidential Information and Goodwill in the performance of your duties hereunder.
