Common use of Prohibited Person Clause in Contracts

Prohibited Person. Such Seller is not a Prohibited Person and, to such Seller’s knowledge, (a) except for third party persons who hold direct or indirect ownership interests in such Seller, none of such Seller’s affiliates or parent entities is a Prohibited Person; (b) except for third party persons who hold direct or indirect ownership interests in such Seller, such Seller’s Property is not the property of or beneficially owned by a Prohibited Person; and (c) except for third party persons who hold direct or indirect ownership interests in such Seller, such Seller’s Property is not the proceeds of specified unlawful activity as defined in 18 U.S.C. § 1956(c)(7);
