PROGRAMMING SERVICES. Before proceeding into the Schematic Design Phase, the Project Architect and his entire consultant team, including Civil Engineer, Laboratory Design Consultant, Hazardous Material Abatement Consultant, Commissioning Consultant and Constructability Contractors, working with the Owner shall prepare a comprehensive Facility Program for the project. This Facility Program shall be prepared in accordance with the U. T. System Facilities Programming Guidelines which are hereby incorporated herein by reference, a copy of which has been provided to Project Architect. The anticipated services and deliverables under the responsibility of the Project Architect are summarized in an attached Exhibit, the Anticipated Programming Deliverables. Following selection, the Project Architect shall provide the Owner with a written itemized cost proposal to provide the designated programming services. Such compensation shall be in addition to the percentage based fee for Basic Services. The Project Architect shall plan to meet with representatives of the Owner as required during the development of the Facility Program and shall revise the Program as necessary to achieve approval of the Owner. In accordance with the Professional Services Procurement Act, the Owner will review the Project Architect’s proposal for programming services and attempt to negotiate a fair and reasonable fee for these services. If the Owner and Project Architect are unable to do so, the Owner will formally end negotiations with the Project Architect, select the next most highly qualified Project Architect, and attempt to negotiate a fair and reasonable fee for these services.

PROGRAMMING SERVICES. Consultant shall confirm and refine the program information already developed for the Project, detailing the space needs, dimensions, interrelationships and special requirements such as telecommunications systems, access control, standby power and security for each area of the new facility. Consultant shall gather information from Owner and Project stakeholders to identify requirements, problems, issues, expectations and concerns, as well as Project goals. The programming information developed by Consultant shall include, but is not limited to, a list of spaces, their sizes, activities, hours of use, finishes, equipment, furniture and systems, and a brief narrative describing the relationship between spaces. Consultant shall prepare a refined program report, in an 8 1/2" X 11" format and with any drawings attached and in an 11” X 17” format, for presentation to and approval by Owner.

PROGRAMMING SERVICES. As of the Closing and notwithstanding anything to the contrary contained herein, Buyer shall have entered into programming agreements with each of TV Land, Home Shopping Network and TV Food which provide for carriage of such programming to those customers of the System as are currently receiving such programming. In the event that, as of the Closing Date, Buyer has not entered into such an agreement with TV Land, Buyer shall pay Sellers forty thousand six hundred twenty-two dollars ($40,622) in cash.

PROGRAMMING SERVICES. Upon Licensee's request, Licensor may provide custom programming services for Licensee at Licensor's then current hourly rates. The Support Services provided under the Monthly Fees do not cover Support Services for programs and applications developed pursuant to this Programming Services Section. Upon Licensee's request, Support Services for such customized programs and applications may be provided to Licensee at either Licensee's hourly rates as defined in the Software License and Support Agreement or at a fixed cost to be determined and mutually agreed upon on a per project basis. Unless the Parties agree otherwise in writing, the programs and applications developed pursuant to this Section in collaboration with each other and all corresponding copyrights and intellectual property shall be owned and held by Licensor with Licensee holding a paid up exclusive license to use and copy said programs and applications as permitted in this Agreement but Licensee may not transfer or disclose them to any third party.
