Common use of Professional Representation Clause in Contracts

Professional Representation. By acceptance of this Agreement, the Design Professional represents that it is knowledgeable of any and all applicable orders, codes, laws, rules, regulations, and ordinances of any AHJ as such affect its Services; and that it is licensed to perform the Services described in this Agreement, and/or all of the Design Professional’s subconsultants, agents and the like performing any Services related to this Agreement are properly licensed. The Design Professional shall comply with all such orders, laws, rules, regulations, and ordinances and shall be responsible for any and all damages and liabilities resulting from its failure to comply with such orders, codes, laws, rules and regulations in the provision of its Services in compliance with the Standard of Care.

By acceptance of this Agreement, the Design Construction Professional represents that it is knowledgeable of any and all applicable orders, codes, laws, rules, regulations, and ordinances of any AHJ as such affect its Services; and that it is licensed qualified to perform the Services described in this Agreement, and/or all of the Design Construction Professional’s subconsultants, agents and the like performing any Services related to this Agreement are properly licensed. The Design Construction Professional shall comply with all such orders, laws, rules, regulations, and ordinances and shall be responsible for any and all damages and liabilities resulting from its failure to comply with such orders, codes, laws, rules and regulations in the provision of its Services in compliance with the Standard of Care.
