Proceedings Satisfactory to Counsel. All proceedings taken by the Company and the Stockholders and all instruments executed and delivered by the Company and the Stockholders on or prior to the Closing in connection with the transactions contemplated herein shall be reasonably satisfactory in form and substance to the counsel for QuadraMed and Acquisition Co.
Proceedings Satisfactory to Counsel. All proceedings taken by Purchaser and all instruments executed and delivered by Purchaser on or prior to the close of business on the Closing Date, in connection with the transactions herein contemplated, shall be reasonably satisfactory in form 12 73 and substance to Seller and its counsel.
Proceedings Satisfactory to Counsel. All proceedings taken by OneSource and all instruments executed and delivered by and on or prior to the Closing Date in connection with the transactions herein contemplated shall be satisfactory in form and substance to counsel for Shareholders.
Proceedings Satisfactory to Counsel. All proceedings taken by Seller and its subsidiaries and Designated Shareholder and all instruments executed and delivered by Seller and its subsidiaries and Designated Shareholder on or prior to the Closing Date in connection with the transactions contemplated hereby shall be reasonably satisfactory in form and substance to counsel for Buyer.
Proceedings Satisfactory to Counsel. It shall be a condition to the effectiveness of all deliveries at the Closing that the actions, proceedings, instruments and documents required to carry out the transactions contemplated by this Agreement to be effected at the Closing, and related legal matters be reasonably satisfactory to and approved by counsel for each party and such counsel shall have been furnished with such certified or other copies of such actions and proceedings and such other instruments and documents as it shall reasonably have requested. All deliveries at the Closing shall be deemed to occur simultaneously unless the parties otherwise agree or the context otherwise requires.
Proceedings Satisfactory to Counsel. All proceedings taken by Seller and all instruments executed and delivered by Seller on or prior to the Closing Date in connection with the transactions contemplated hereby shall be satisfactory in form and substance to counsel for Buyer.

All proceedings taken by Intellicell and Merger Sub and all instruments executed and delivered by Intellicell and Merger Sub on or prior to the Closing in connection with the transactions herein contemplated shall be reasonably satisfactory in form and substance to counsel for CWI.
Proceedings Satisfactory to Counsel. All proceedings taken by Acquiror and all instruments executed and delivered by Acquiror on or prior to the Closing Date in connection with the transactions contemplated hereby shall be reasonably satisfactory in form and substance to counsel for MSH.
Proceedings Satisfactory to Counsel. All proceedings taken by QuadraMed, Sub A and Sub B and all instruments executed and delivered by QuadraMed, Sub A and Sub B on or prior to the Closing in connection with the transactions contemplated herein shall be reasonably satisfactory in form and substance to the counsel for RHP and the Partners.
