Common use of Proceedings, Instruments, etc Clause in Contracts

Proceedings, Instruments, etc. All proceedings and actions taken on or prior to the Closing Date in connection with the transactions contemplated by this Agreement, and all instruments incident thereto, shall be satisfactory in form and substance to you and your special counsel, and you and your special counsel shall have received copies of all such documents that you or they may reasonably have requested in connection with such proceedings, actions and transactions (including, without limitation, evidence of the correctness of representations and warranties contained herein and in the Supplemental Indenture, and evidence of compliance with the terms and the fulfillment of the conditions of this Agreement and the Indenture), in form and substance satisfactory to you and your special counsel.
