Proceedings, Instruments, etc. All proceedings and actions taken on or prior to the Closing Date in connection with the transactions contemplated by this Agreement, and all instruments incident thereto, shall be satisfactory in form and substance to you and your special counsel, and you and your special counsel shall have received copies of all such documents that you or they may reasonably have requested in connection with such proceedings, actions and transactions (including, without limitation, evidence of the correctness of representations and warranties contained herein and in the Supplemental Indenture, and evidence of compliance with the terms and the fulfillment of the conditions of this Agreement and the Indenture), in form and substance satisfactory to you and your special counsel.
Proceedings, Instruments, etc. All proceedings and actions taken on or prior to the Closing Date in connection with the transactions contemplated by this Agreement, and all instruments incident thereto, shall be in form and substance reasonably satisfactory to the Purchaser and its counsel, and the Purchaser and its counsel shall have received copies of all documents that they may reasonably request in connection with such proceedings, actions and transactions (including, without limitation, copies of court documents, certifications and evidence of the correctness of the representations and warranties contained herein and certifications and evidence of the compliance with the terms and the fulfillment of the conditions of this Agreement, in form and substance reasonably satisfactory to the Purchaser and its counsel).
Proceedings, Instruments, etc. All proceedings to be taken in connection with the transactions contemplated by this Agreement, and all documents incidental thereto, shall be satisfactory in form, scope and substance to the Bank and its counsel; and the Bank shall have received copies of all documents which the Bank may reasonably request in connection with said transactions and copies of the records of all proceedings in connection therewith in form, scope and substance satisfactory to the Bank and its counsel.

Proceedings, Instruments, etc. All proceedings in connection with the transactions contemplated by this Agreement and all documents and instruments incident to such transactions shall be satisfactory to you and your special counsel, and you and your special counsel shall have received all such counterpart originals or certified or other copies of such documents as you or it may reasonably request.

Proceedings, Instruments, etc. All proceedings and actions taken on or prior to the Amendment Effective Date in connection with the transactions contemplated by this Amendment and all instruments incident thereto shall be in form and substance satisfactory to Agent and its counsel, and Agent and its counsel shall have received copies of all documents that it or they may request in connection with such proceedings, actions and transactions, in each case in form and substance satisfactory to Agent and its counsel.
Proceedings, Instruments, etc. All proceedings and actions taken on or prior to the date hereof in connection with this Amendment and all instruments incident thereto and hereto shall be in form and substance satisfactory to the Bank, and the Bank shall have received copies of all documents that it may request in connection with such proceedings, actions and transactions (including, without limitation, (i) certified resolutions Amendment No. 3 to Credit Agreement - 1 - November 22, 1996 of the Board of Directors of CLTL and Chemical Xxxxxx Corporation authorizing the execution and delivery of this Amendment, and (ii) incumbency certificates specifying the officer(s) of CLTL and Chemical Xxxxxx Corporation duly authorized to execute and deliver this Amendment).
