Procedural Rules. The JGC shall have the right to adopt such standing rules as shall be necessary for its work, to the extent that such rules are not inconsistent with this Agreement. A quorum of the JGC shall exist whenever there is present at a meeting at least one (1) representative appointed by each Party. Representatives of the Parties on the JGC may attend a meeting either in person or by telephone, video conference or similar means in which each participant can hear what is said by and be heard by, the other participants; provided, that each Calendar Year at least one (1) meeting of the JGC will be in-person. Representation by proxy shall be allowed. Alliance Managers and other employees or consultants of a Party who are not representatives of such Party on the JGC may attend meetings of the JGC; provided, however, that such attendees (a) shall not vote or otherwise participate in the decision-making process of the JGC and (b) are bound by obligations of confidentiality and non-disclosure at least as protective of the other Party as those set forth in ARTICLE 9.

Each Committee shall take action by consensus of the members present at a meeting at which a quorum exists, with each Party having a single vote irrespective of the number of representatives of such Party in attendance, or by a written resolution signed by at least one (1) representative appointed by each Party.

A grievance must be filed at Step One within twenty-one (21) calendar days from the date on which the act which is the subject of the grievance occurred or twenty-one (21) calendar days from the date on which the individual Housestaff Officer should reasonably have known of its occurrence.

Employees or consultants of either Party that are not representatives of the Parties on a Joint Committee may attend meetings of such Joint Committee; provided, however, that such attendees: (i) shall not vote or otherwise participate in the decision-making process of the Joint Committee; (ii) shall not be counted when determining whether a quorum exists at any such meeting; and (iii) shall be bound by obligations of confidentiality and non-disclosure equivalent to those set forth in Article 12. A Party’s representative on the JSC may also serve as such Party’s representative on the JRC and vice versa; provided, that such representative has the requisite experience CONFIDENTIAL TREATMENT REQUESTED. INFORMATION FOR WHICH CONFIDENTIAL TREATMENT HAS BEEN REQUESTED IS OMITTED AND MARKED WITH “[***]”. AN UNREDACTED VERSION OF THE DOCUMENT HAS ALSO BEEN FURNISHED SEPARATELY TO THE SECURITIES AND EXCHANGE COMMISSION AS REQUIRED BY RULE 406 UNDER THE SECURITIES ACT OF 1933, AS AMENDED. and seniority to enable such person to make decisions on behalf of such Party with respect to the issues falling within the jurisdiction of the relevant Joint Committee.

Representatives of the Parties on the JPC may attend a meeting either in-person or by telephone, video conference or similar means in which each participant can hear what is said by, and be heard by, the other participants. Each Party may, from time-to-time and with prior written notice to the JPC members of the other Party, invite Primary Contact Persons, JPT members or any of its employees to attend relevant portions of a JPC meeting, as necessary. If a Party wishes to invite a non-employee Third Party to attend a JPC meeting, then such party shall notify the other Party in writing at least ten (10) Business Days prior to the relevant JPC meeting, which notice shall identify the relevant Third Party, and briefly describe the reasons that the requesting Party wishes to include the Third Party in the meeting. The attendance and participation of such Third Party shall be subject to the prior written consent of the Party receiving such notice (such consent not to be unreasonably withheld or delayed). Any such consent granted by a Party shall be conditioned upon such Third Party being bound by a written confidentiality and non-use agreement that is reasonably acceptable to the consenting Party. Notice and approval of the attendance of such Third Party at a subsequent JPC meeting shall not be required for any Third Party who was previously approved by the other Party and remains bound by such confidentiality and non-use agreement at the time of such subsequent JPC meeting. Upon request, either Party shall provide evidence in writing that any Third Party that it wishes to invite to any JPT meeting is bound by such confidentiality and non-use agreement. The Parties respective JPC Co-Chairs shall be responsible for ensuring compliance with the provisions of this Section 7.5.2. Each Party shall be responsible for all costs and expenses incurred by it in connection with its participation in the meetings of the JPC.

For clarity, each Party shall have the right to make operational, day-to-day decisions with respect to the performance of its activities under this Agreement.
