Prior Year Clause Samples

The "Prior Year" clause defines how information, obligations, or calculations related to the previous fiscal or calendar year are handled within an agreement. Typically, this clause specifies which data or performance metrics from the preceding year are relevant for current contractual purposes, such as determining bonuses, setting benchmarks, or calculating adjustments. By clearly referencing the prior year, the clause ensures consistency and clarity in applying historical data, thereby preventing disputes over which time period's information should be used.
