Common use of Prior Negotiations; Entire Agreement Clause in Contracts

Prior Negotiations; Entire Agreement. This Agreement, including the exhibits and schedules hereto (including the Term Sheet) constitutes the entire agreement of the Parties, and supersedes all other prior negotiations, with respect to the subject matter hereof and thereof, except that the Parties acknowledge that any confidentiality agreements (if any) heretofore executed between the Company and each Consenting Senior Noteholder shall continue in full force and effect.

Prior Negotiations; Entire Agreement. This Agreement, including the exhibits Exhibits and schedules hereto (including the Term Sheet) Schedules, constitutes the entire agreement of the Parties, and supersedes all other prior negotiations, Parties with respect to the subject matter hereof and thereofsupersedes all other prior agreements (oral or written), negotiations, and documents between and among the Parties (and their respective advisors) with respect to the subject matter hereof, except that the Parties acknowledge that any confidentiality agreements (if any) heretofore executed between the Company Debtors and each any Consenting Senior Noteholder Stakeholder shall continue in full force and effecteffect in accordance with the terms thereof.

This Agreement, including the exhibits and schedules hereto (including the Plan Term Sheet) ), constitutes the entire agreement of the Parties, and supersedes all other prior negotiations, with respect to the subject matter hereof and thereof, except that the Parties acknowledge that any confidentiality agreements (if any) heretofore executed between the Company Debtors and each Consenting Senior Noteholder Claim Holder or Consenting Equityholder prior to the execution of this Agreement shall continue in full force and effecteffect for the duration of such confidentiality agreements.

Prior Negotiations; Entire Agreement. This Agreement, including the exhibits and schedules hereto (including the Term Sheet) hereto, constitutes the entire agreement of the Restructuring Support Parties, and supersedes all other prior negotiations, with respect to the subject matter hereof and thereofof this Agreement, except that the Parties acknowledge whether written or oral; provided, however, that any confidentiality agreements (if any) heretofore agreement executed between the Company by any Consenting Creditor shall survive execution and each Consenting Senior Noteholder delivery of this Agreement and shall continue in full force and effect, subject to the terms thereof, irrespective of the terms hereof.
