Prior Certification Clause Samples

The Prior Certification clause requires one party to confirm that certain statements, conditions, or requirements have been met before a contract is executed or a particular obligation is triggered. In practice, this may involve providing written evidence or formal declarations that all necessary licenses, approvals, or qualifications are in place prior to commencing work or delivering goods. This clause ensures that both parties have assurance regarding compliance or readiness, thereby reducing the risk of disputes or delays caused by unmet prerequisites.
