Pre-Final Documents Rejection. The Department shall provide the Professional written direction regarding any rejection of the submission due to failure to adhere to the requirements of this Professional Agreement, the Project Scope, the Construction Budget, or other requirements provided by the Department. A. The Professional shall address all comments and issues raised by the Department and shall submit revise pre-final design documents that address all such comments within the revised submission deadline provided by the Department in the rejection notification. The Professional also shall submit a written response to all Department comments indicating how the Professional addressed each comment and a proposed recovery Project Schedule with the revised submission. The Department shall set forth the final recovery Project Schedule that the Professional shall adhere to throughout the remainder of the Project. B. During the period of rejection, the Professional shall not submit any additional invoices for this submission or any subsequent submission until it receives approval of the submission from the Department. C. The Professional shall meet with the Department, when required by the Department, for the purpose of presenting and reviewing the revised pre-final design documents, recovery Project Schedule, and Statement of Probable Construction Cost.

  • Original Documents If requested by Owner to do so, maintain and safeguard during the Construction Phase at least one original printed record version of the Construction Contract Documents, including Drawings and Specifications signed and sealed by Engineer and other design professionals in accordance with applicable Laws and Regulations. Throughout the Construction Phase, make such original printed record version of the Construction Contract Documents available to Contractor and Owner for review.

  • Amendment of Material Documents No Loan Party will, nor will it permit any Subsidiary to, amend, modify or waive any of its rights under (a) any agreement relating to any Subordinated Indebtedness, or (b) its charter, articles or certificate of organization or incorporation and bylaws or operating, management or partnership agreement, or other organizational or governing documents, to the extent any such amendment, modification or waiver would be adverse to the Lenders.

  • Execution of Additional Documents Each party hereto shall make, execute, acknowledge and deliver such other instruments and documents, and take all such other actions as may be reasonably required in order to effectuate the purposes of this Agreement and to consummate the transactions contemplated hereby.

  • Amendment of Organizational Documents The Borrower will not, nor will the Borrower permit any Credit Party to, amend or otherwise modify any of its Organizational Documents in a manner that is materially adverse to the Lenders, except as required by Applicable Laws.

  • Additional Documentation Execute and deliver, or cause to be executed and delivered, any and all other agreements, instruments or documents which Lender may reasonably request in order to give effect to the transactions contemplated under this Loan Agreement and the other Loan Documents.
