The Group shall not enter into or offer to any Physician Employee or other employee of the Group or Administrator any "employee benefit plan" (as defined in Section 3(3) of the Employee Retirement Income Security Act of 1974, as amended ("ERISA")) without the express written consent of Administrator, which consent shall not be unreasonably withheld.
