Power and Authority to Conduct Business. Power and Authority to Conduct Business. Seller has the full power and authority to own or lease its properties and to conduct its business in the manner and the places where such property is owned or leased and its business is conducted. Seller possesses all permits and licenses from state, local, or Federal agencies or subdivisions necessary to operate its business the failure of which to obtain would have a Material Adverse Effect, all of which are in full force and effect.
