Post Closing Negative Covenants of Buyer. To induce Seller to enter into this Agreement, Buyer warrants, covenants and agrees that, until all of the Preferred Shares have been converted into Preferred Conversion Shares, it will comply with and observe the following covenants and provisions, and will cause each Subsidiary to comply with and observe such of the following covenants and provisions as are applicable to such Subsidiary:
