Common use of Position; Responsibilities Clause in Contracts

Position; Responsibilities. During the Employment Period, Executive shall serve as the Chief Operating Officer of the Company and shall have the normal duties, responsibilities, functions and authority of a chief operating officer, subject to the power and authority of the board of directors (the “Board”) of Acadia, to expand or limit such duties, responsibilities, functions and authority within the scope of duties, responsibilities, functions and authority associated with the position of Chief Operating Officer and to overrule actions of officers of the Company.

During the Employment Period, Executive shall serve as the Chief Operating Officer Executive Vice President, General Counsel and Corporate Secretary of the Company and Acadia and shall have the normal duties, responsibilities, functions and authority of a chief operating officeran executive vice president and general counsel, subject to the power and authority of the board of directors (the “Board”) of Acadia, to expand or limit such duties, responsibilities, functions and authority within the scope of duties, responsibilities, functions and authority associated with the position of Chief Operating Officer Executive Vice President, General Counsel and Corporate Secretary and to overrule actions of officers of the Company.

During the Employment Period, Executive shall serve as the Chief Operating Officer a Co-President of the Company and shall have the normal duties, responsibilities, functions and authority of a chief operating officerCo-President, subject to the power and authority of the board of directors managers (the “Board”) of AcadiaAcadia Healthcare Holdings, LLC, a Delaware limited liability company (“Holdings”), to expand or limit such duties, responsibilities, functions and authority within the scope of duties, responsibilities, functions and authority associated with the position of Chief Operating Officer Co-President and to overrule actions of officers of the Company.

During the Employment Period, Executive shall be Chairman of the Board.
