Platform Users. In respect of each Platform Licence granted in accordance with the relevant service Module 1, the Account Holder shall appoint ▇▇▇▇▇▇ Platform users who shall be the only users permitted to access the ▇▇▇▇▇▇ Platform and be provided with Solutions, Deliverables and/or Documentation in accordance with the Platform User's specified Identity, and whereby any appointed Platform User may only access the ▇▇▇▇▇▇ Platform, Solutions, Deliverables and related services strictly in accordance with the terms of this Agreement and the Account Holder's instructions.
Platform Users. If [client]’s license to the Platform is limited to a specific number of users, [client] will nominate individuals (“User”) who will be responsible for the proper use of the Platform. Spotted Zebra grants [client] a non-exclusive, royalty- free, revocable, non-transferable and non-assignable license for each User to use the Platform. Each User’s Platform credentials are confidential and exclusive in nature and may not be shared. [client] must promptly notify Spotted Zebra of any unauthorized access to or use of the Platform. 5. Support, Maintenance and Upgrades. Spotted Zebra provides [client] with Spotted Zebra support services (“Support Services”) for administrators at no additional cost. Support Services are not available to [client]’s customers or Candidates. Additional charges may apply for any such requests directed to Spotted Zebra by [client]. Spotted Zebra will use all commercially reasonable efforts to have the Platform available except for (a) scheduled maintenance periods (published online with at least 30 days prior notice) or (b) unscheduled maintenance required to address system issues, in which case, Spotted Zebra will provide as much notice as reasonably possible. Spotted Zebra periodically conducts system upgrades to the Platform and are generally provided at no additional cost to [client]. The maintenance schedule, published in the Support Policy, includes dates for Platform upgrades and routine maintenance.
Platform Users. Client may allow (a) such number of its employees as it desires to use the Platform, or (b) where Client is a Non-Merchant Client, (i) such number of Merchants, and (ii) such number of the Merchant’s employees as an applicable Merchant desires; provided, however, in each case, as a condition to such use, each user must abide by the usage and other restrictions set forth in Section 3 and any other end-user terms of use which Service Provider may adopt from time to time. As between Client and Service Provider, Client is solely responsible for use of the Platform by any user, (1) utilizing Client’s account, and (2) utilizing a Merchant’s account where Client is a Non-Merchant Client, in each case, whether or not such use is authorized by Client. Client must immediately notify Service Provider of any violation of the restrictions set forth in Section 3 by any user utilizing Client’s account, or a Merchant’s account where applicable, upon becoming actually or constructively aware of such violation, and Client shall be, as between Client and Service Provider, solely and wholly liable for any such violation.
