Platform Performance. Licensee agrees and acknowledges Licensee has verified the Platform’s necessary specifications, performance, functionality, access to, and availability, and found it suitable for License’s needs and requirements.
Platform Performance. Until the Completion Date, the Seller must:
(a) (operational activity) continue to carry on the Platform in the ordinary and usual course;
(b) (protection) perform any action within its power and control to maintain profitability and value of the Assets and the Platform;
(c) (Goodwill) maintain the current operational relationships and ▇▇▇▇▇▇▇▇;
(d) (grant an interest) not grant any interest in any Seller Intellectual Property Rights;
(e) (maintain Seller Intellectual Property Rights) not cancel or fail to renew any registration of Development and Transfer Agreement for Genetic Analysis Systems Page 12 any registered Seller Intellectual Property Rights; or
(f) do anything which materially prejudices the likelihood of Completion occurring
Platform Performance. Company will use commercially reasonable efforts to (i) make the Platform available to Customer at least 99% of the time, excluding scheduled maintenance, measured on a rolling 6-month basis;
Platform Performance. It is our duty to ensure the availability, reliability, and overall performance of the platform. We continuously monitor and optimise our systems to deliver a stable and efficient service.
