(a) All payments to be made hereunder by the Borrower Borrowers shall be made to the Agent, not later than 11 a.m. New York time (any payment received after 11 a.m. New York time shall be deemed to have been paid on the next Banking Day) on the due date dates of such paymentpayments to the Agent by wire transfer to The Bank of New York, at its office located at 200 Xxxx XxxxxxNew York, Xxx New York (ABA No. 021000018) for credit to the account of Christiania Bank, Nxx Xxxx, Xxx Xxxx 00000 xx New York (Account No. 8026120277) or to such other office of the Agent place as the Agent may direct, for the account of the Lenders, without set-off or counterclaim and free from, clear of, of and without deduction for, for any Taxes, provided, however, that if the Borrower Borrowers shall at any time be compelled required by law to withhold or deduct any Taxes from any amounts payable to the Agent or the Lenders hereunder, then the Borrower Borrowers shall jointly and severally (1) pay directly to the relevant taxing authority the full amount required to be deducted or withheld, (2) pay to the Agent for the account of the Lenders such additional amounts in Dollars as may be necessary in order to ensure that the net amounts received after any such withholding or deduction by each Lender shall equal the full amounts which such Lender would have been received if such withholding or deduction were not required andrequired, in the event any withholding or deduction is made, whether for Taxes or otherwise, the Borrower shall and (3) promptly send to the Agent and an official receipt or other documentary evidence satisfactory to the Agent evidencing such payment to such authority. Notwithstanding the preceding sentence, the Borrowers shall not be required to pay additional amounts or otherwise indemnify the Lenders such documentary evidence for such withholding or deduction as may be required from time to time by the Agent or the relevant Lender, as the case may be.on account of:

All payments to be made hereunder by the Borrower shall be made to the Administrative Agent, not later than 11 a.m. New York time (any payment received after 11 a.m. New York time shall be deemed to have been paid on the next Banking Day) on the due date of such payment, at its office located at 200 00 Xxxx 00xx Xxxxxx, 0xx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000 xx or to such other office of the Administrative Agent as the Administrative Agent may direct, without set-off or counterclaim and free from, clear of, and without deduction for, any Taxes, provided, however, that if the Borrower shall at any time be compelled by law to withhold or deduct any Taxes from any amounts payable to the Agent or the Lenders Banks hereunder, then the Borrower shall pay such additional amounts in Dollars as may be necessary in order that the net amounts received after any such withholding or deduction shall equal the amounts which would have been received if such withholding or deduction were not required and, in the event any withholding or deduction is made, whether for Taxes or otherwise, the Borrower shall promptly send to the Administrative Agent and the Lenders such documentary evidence for with respect to such withholding or deduction as may be required from time to time by the Agent or the relevant Lender, as the case may beBanks.

Place of Payments, No Set Off.
