Place of Meetings and Meetings by Telephone. Regular meetings of the Board shall be held at any place within or without the State of Delaware which has been designated from time to time by resolution of the Board or by written consent of all members of the Board in the absence of such designation regular meetings shall be held at the principal executive office of the Company. Special meetings of the Board may be held either at a place so designated or at the principal executive offices. Any meeting, regular or special, may be held by conference telephone or similar communication equipment, so long as all Managers participating in the meeting can hear one another and all such Managers shall be deemed to be present at the meeting.
