Common use of Personal Services Clause in Contracts

Personal Services. (a) No Member shall be required to perform services for the Company solely by virtue of being a Member. Unless approved by the Management Committee, no Member shall perform services for the Company or be entitled to compensation for services performed for the Company. (b) Unless approved by Members holding more than fifty percent (50%) of the Voting Interests, no General Manager shall be entitled to compensation for services performed for the Company in that capacity. However, upon substantiation of the amount and purpose thereof, a General Manager shall be entitled to reimbursement for expenses reasonably incurred in connection with the activities of the Company.
