Permitted Termination. Notwithstanding the foregoing, this Agreement may be terminated: 5.1.1 Effective upon sixty (60) days’ prior notice by either party to the other; or 5.1.2 At any time after the occurrence or continuance of a Payment Default or other Default that is material to the whole of this Agreement that has not been remedied in accordance with Section 11 herein.
