Common use of PERMITS, LICENSES AND GOVERNMENTAL AUTHORIZATIONS Clause in Contracts

PERMITS, LICENSES AND GOVERNMENTAL AUTHORIZATIONS. (a) All material building or other permits, certificates of occupancy, concessions, grants, franchises, licenses, certificates of need and other material governmental authorizations and approvals necessary for the conduct of the Business, or waivers thereof, have been duly obtained and are in full force and effect, and there are no proceedings pending or, to the knowledge of Seller and Shareholders, threatened which may result in the revocation, cancellation or suspension, or any adverse modification, of any thereof. Any and all past litigation concerning such building or other permits, certificates of occupancy, concessions, grants, franchises, licenses, certificates of need and other governmental authorizations and approvals, and all claims and causes of action raised therein, have been finally adjudicated.
