PAYORS. EXHIBIT 2.28 sets forth a true, complete and correct list of the names and addresses of each payor of Dentist's services which accounted for more than 10% of revenues of Dentist in the preceding fiscal year. Dentist has good relations with all such payors and other material payors of Dentist and none of such payors has notified Dentist that it intends to discontinue its relationship with Dentist or to deny any claims submitted to such payor for payment.

PAYORS. The term "Payors" shall have the meaning set forth in Section 3.27.
PAYORS. Schedule 3.29 sets forth a true, correct and complete list of the names and addresses of each Payor, including any private pay patient as a single payor, of the Company's services which accounted for more than 10% of the revenues of the Company in the three (3) previous fiscal years. Except as set forth on Schedule 3.29, the Company has good relations with such Payors and none of such Payors has notified the Company that it intends to discontinue its relationship with the Company or to deny any claims submitted to such Payor for payment.
PAYORS. Neither the Company nor any Subsidiary is currently involved in any material dispute with a Material Payor, and neither the Company nor any Subsidiary has received any written or, to the knowledge of the Company and its Subsidiaries, oral notice since September 30, 2003 from any Material Payor to the effect that such Material Payor intends to cease doing business or significantly reduce the volume of its business with the Company or any Subsidiary or change any of the material terms related to its Contracts with the Company or Subsidiary.
PAYORS. Because we are not responsible under the terms of our agreement with the State Health Plan for funding the payments for Covered Services provided to State Health Plan Members, we will not be required to advance or fund such payments notwithstanding any provision of this Agreement to the contrary. As a governmental entity, the State Health Plan is obligated by law to fund such payments and is acting as a payor rather than an employer.
PAYORS. Provider and Manager, in consultation with one another, shall administer and negotiate all third party Payor agreements, including without limitation, government Payors, distributors and sales agents.
PAYORS. Seller has provided PRG with a true, complete and correct list of the names and addresses of each payor of Seller's services which accounted for more than 10% of revenues of Seller in any of the preceding fiscal years. Seller has good relations with all such payors and other material payors of Seller and none of such payors has notified Seller that it intends to discontinue its relationship with Seller or to deny any claims submitted to such payor for payment.
PAYORS. Set forth in Schedule 2.19 is a complete and accurate list of each third-party payor or provider that is doing or has done business with the Partnership and accounted for 10% or more of the revenues of the Partnership for the year ended December 31, 2004 or for the interim period ending on the Latest Balance Sheet Date (collectively, the "Payors"). None of the Payors has threatened, or notified the Seller or Xxxxxx of any intention, to terminate or materially alter its relationship with the Partnership, or materially alter the amount of the business that such Payor is presently doing with the Partnership, and none of the Seller, Xxxxxx or the Partnership has any information, or is aware of any facts, indicating that any Payor intends to do any of the foregoing, either as a result of the transactions contemplated by this Agreement or otherwise. Except as set forth in Schedule 2.19, there has been no change in pricing or pricing structure (other than ordinary course changes consistent with past practices) with any Payor and there has been no dispute with a Payor, in each case since January 1, 2005.
PAYORS. (a) Neither the Company nor any Company Subsidiary is currently involved in any material dispute with any Governmental Entity payor or third party payor (e.g., a health insurer, HMO, PPO and the like) that provides in excess of $3 million of annual revenue to the Company and the Company Subsidiaries on a consolidated basis (each, a “Material Payor”), and since July 1, 2005, neither the Company nor any Company Subsidiary has received any written notice from any Material Payor to the effect that such Material Payor intends to cease doing business or significantly reduce the volume of its business with the Company or any Company Subsidiary or change any of the material terms related to its contracts with the Company or any of the Company Subsidiaries.
