Performer. AMYRIS, INC. a corporation organized and existing under the laws of the State of Delaware with its principal place of business at 0000 Xxxxxx Xxxxxx, Suite 100, Emeryville, California 94608 Practical Application: To manufacture, in the case of a composition of product; to practice, in the case of a process or method, or to operate, in the case of a machine or system; and, in each case, under such conditions as to establish that the Invention is capable of being utilized and that its benefits are, to the extent permitted by law or Government regulations, available to the public on reasonable terms. For the avoidance of doubt, the Parties acknowledge that “practical application” under this Agreement may not include actual commercialization of Subject Inventions hereunder because such Subject Inventions are likely to be research tools and platforms (e.g., it is envisioned that the tools and platforms resulting from the research carried out under this agreement will later – outside of this agreement - be used by the performer to develop commercial products).
Performer. Presenter has the full and exclusive right and authority to enter into and perform this Agreement; (c) all creative works and other materials used or distributed by Performer/Presenter at or for the Event (the “Works”) are wholly original to Performer/Presenter and neither the Works nor any elements thereof, infringe upon or violate the proprietary rights of any person or entity; (d) the Works do not violate the rights to privacy or publicity of or constitute a defamation against any person or entity, and (e) Performer/Presenter has obtained all rights and permissions required to perform or present the Works without infringing upon the rights of any third party.

Performer. LICENSEE guarantees the appearance of any named performers advertised to appear at the event as specified. In the event an advertised performer must cancel, LICENSEE must place signs so indicating outside the premise’s entrances and must make an official announcement before the start of the program. LICENSEE must make a bona fide offer of a refund to any ticket holder who requests a refund. The manner and circumstances of the refund, if necessary, will be determined by the COUNTY. LICENSEE will pay all refunds and expenses of refund arrangements. POST EVENT CLEAN UP: No equipment, pallets or waste materials may be left beyond the AGREEMENT timeframe or charges may be incurred and charged to LICENSEE at the sole discretion of Kitsap County Fairground and Event Center. Any damage, facility charges, excessive clean-up or other costs incurred by display, decoration or labor contractor is the full responsibility of the LICENSEE. Please ensure your decorator reviews the rules and regulations as noted above to eliminate any additional charges. RESTROOMS: LICENSEE may use the pre-existing bathrooms if applicable to the facility rental, but LICENSEE is aware dependent on fire, health & safety requirements that additional restrooms may be required to be rented including handwashing stations which must be in complete operating form throughout the entire duration of the event. LICENSEE is also aware that it is their responsibility to service and maintain the bathrooms for the rental dates outlined in the contract. XXXXXXXX agrees to uphold cleanliness standards as outlined in paragraph 9.

Performer. Presenter agrees to participate in any media interviews that BMSE may have organized before the festival. BMSE will provide adequate notice of such interviews. All additions to this contract must be in writing, signed and dated. Purchase of your Vendor Village tickets will act as acceptance of these terms. Concerning Vendor Village Exhibiting Space • Set Up and Show Times: Set up times vary by expo and will be sent in your confirmation email. Public hours vary by expo and will be sent in your confirmation email. Tear down begins at the close of the expo on Sunday. NO early teardown is allowed. • Marketed Goods & Services: All products, equipment, or services to be sold, offered, or marketed in any way during the expo must include clear pricing. Reader booths may not sell products. BMS Celebration reserves the right to determine the eligibility of any product, company brand or service, and Promoter’s judgement shall be final and binding. No booth may have more than one reader at a time. No food or food samples shall be given away or sold unless approved by Promoter. • Booth Provisions: Promoter will provide a booth space, sized according to your purchase. Booth may include an uncovered banquet table and chairs for a Retail booth, no tables for Reader booths. Show management reserves the right to change or move booth locations if deemed necessary. • Security and Risk of Loss: Although Promoter will endeavor to provide basic security during the Festival, Promoter is not liable for lost, damaged, or stolen goods equipment, or personal property. Exhibitors are advised to carry their own property and casualty insurance to cover losses from whatever source. • Exhibitor’s Financial Responsibility: Exhibitor is financially responsible for any damage caused to booths, decorations, Venue property and any injuries and damages to third persons or their property that is caused by or originates in exhibitor’s booth or through exhibitor’s action. Third persons include, but are not limited to, business guests, invitees, others in attendance at Expo, other exhibitors, show staff, and any other persons at the Expo. Exhibitor shall protect Promoter from all such claims, defend the Promoter from such claims, and hold the Promoter harmless from all such claims and the expenses thereof including the costs and attorney fees incurred in defending such claims, and shall pay all such claims for which any legal liability is established. • Comply with Rules: Exhibitors will comply wit...
Performer shall maintain documentation for all charges against UM under this Agreement. The books, records and documents of Performer, insofar as they relate to work performed or money received under this Agreement, shall be maintained for a period of three (3) full years from the date of the final payment, and shall be subject to audit, at any reasonable time and upon reasonable notice, by UM or the Comptroller of the Treasury or their duly appointed representatives.
Performer s equipment shall remain under complete supervision, direction and control of Performer. UM assumes no responsibility for the loss of, theft of, or damage to any property of Performer or its representatives that occurs on UM property or in UM facilities.
