Performer Rights Sample Clauses

Performer Rights. The CMF shall indemnify, defend and hold harmless the Performer and its shareholders, officers, directors, employees, agents, successors and permitted assigns from and against any and all Claims brought against any of such persons or entities, and pay all corresponding Losses to the extent arising out of or relating to (i) CMF’s gross negligence or willful misconduct in performing this Agreement; (ii) CMF’s material breach of this Agreement; (iii) CMF’s non- compliance with any applicable law in performing this Agreement.
