Performance by Assignee Sample Clauses
Performance by Assignee. Without limiting the foregoing, if at any time Assignor or any of its Affiliates become obligated to pay any amounts in respect of, or any fees, costs or expenses relating to, or otherwise to perform any obligations in respect of, any Assumed Obligation, then, promptly upon notice thereof from Assignor, subject to Section 7(b) hereof, Assignee shall make any payments required to be made and perform any other obligation otherwise required to be performed by Assignor or any of its Affiliates.
Performance by Assignee. By accepting this Assignment, Assignee hereby assumes and agrees to perform all obligations of the Assignor under the Miscellaneous Property Assets as may accrue form and after the date of this Agreement. Assignee hereby agrees to indemnify, defend, protect and hold harmless Assignor from and against all losses, damages, claims, liabilities, judgments and costs (including attorneys' fees) which Assignor may incur or sustain by reason of any failure of Assignee to perform the obligations assumed herein.
Performance by Assignee. Assignee agrees to perform, pay, discharge, in accordance with their terms, and satisfy faithfully as the same shall become due for payment, all Assumed Liabilities, to be bound by all covenants, stipulations and agreements under or relating to the Contributed Assets and the Contributed Equity and to otherwise honor all contracts relating to the Contributed Assets and the Contributed Equity, all in accordance with their respective terms.
