Pending Actions; Statutes. No Action shall be pending on the Closing Date which challenges, or might result in a challenge to, this Agreement or any transaction contemplated hereby, or which claims, or might give rise to a claim for, damages against Seller in a material amount as a result of the consummation of the transactions contemplated hereby. No Law shall have been enacted, promulgated or otherwise issued by any Government Authority with authority to enforce such Law, which would make consummation of the Closing illegal. 9.5
