Common use of Payoff Letter Clause in Contracts

Payoff Letter. Agent shall have received, in form and substance reasonably satisfactory to Agent, a payoff letter from Existing Term Loan Agent providing that, among other things, all of the Indebtedness of the Loan Parties under the Existing Term Loan Documents has been paid and satisfied in full;

Payoff Letter. Agent shall have received, in form and substance reasonably satisfactory to Agent, a payoff letter from each Existing Term Loan Agent Lender providing that, among other things, all of the Indebtedness of the Loan Parties under the Existing Term Loan Documents has been paid and satisfied in full;

Agent shall have receivedreceived evidence, in form and substance reasonably satisfactory to Agent, a payoff letter from Existing Term Loan Agent providing that, among other things, all of the Indebtedness of the Loan Parties under the Existing Term Loan Documents has been paid and satisfied in full;

Agent shall have received, in form and substance reasonably satisfactory to Agent, a payoff letter from Existing Term Loan Agent BMO Xxxxxx Bank N.A. providing that, among other things, and except as otherwise expressly provided in such payoff letter, all of the Indebtedness of the Loan Parties under the Existing Term Loan Documents has been (or substantially contemporaneously with closing will be) paid and satisfied in full;
