Payments to Independent Engineer. The Lead ULB shall pay the Independent Engineer all fees, costs, charges and expenses payable to the Independent Engineer in accordance with the terms of its appointment (collectively the “Remuneration"). However, the Lead ULB and Concessionaire shall share this expense equally on a 50:50 basis. The Lead ULB shall recover the pro-rated costs payable to the Independent Engineer as Remuneration from amounts payable to the Concessionaire. In case, the Developer does not pay the Lead ULB its share of remuneration of Independent Engineer, the Lead ULB shall have the right to encash the Construction Performance Security or the Operation Performance Security, as the case may be.

ULB has a right to deduct the amount due towards this from the Tipping Fee payable to the Concessionaire subject to Concessionaire remaining liable and making the payment towards any outstanding on this account.
