Payments Over to the Companies. If any payment or distribution to which any Company would otherwise have been entitled but for the provisions of Section 3, Section 4, or Section 5 shall have been applied pursuant to the provisions of Section 3, Section 4, or Section 5 to the payment of all amounts payable under the Senior Indebtedness, subject to Section 10(b), such Company shall be entitled to receive from Agent or any other member of the Lender Group, as the case may be, any payments or distributions received by such Person in excess of the amount sufficient to cause the Discharge of Senior Indebtedness. If any such excess payment is made to Agent or any Lender, such Person shall promptly remit such excess to such Company and until so remitted shall hold such excess payment for the benefit of such Company.

If any such excess payment is made to Agent or any Lender, such Person shall promptly remit such excess to such Company and until so remitted shall hold such excess payment for the benefit of such Company.

  • Payments to the Company Except as provided in Section 1(d), 2 or 3 hereof, the Company shall have no right or power to direct the Trustee to return to the Company or to divert to others any of the Trust assets before all payment of benefits have been made to Plan participants and their beneficiaries pursuant to the terms of the Plan(s).

  • Deposits to the Bank Account 3.1 The Selling Agents shall promptly deliver to the Escrow Agent all monies which they receive from prospective purchasers of the Securities, which monies shall be in the form of checks or wire transfers. Upon the Escrow Agent’s receipt of such monies, they shall be credited to the Escrow Account. All checks delivered to the Escrow Agent shall be made payable to “HIGHTIMES HOLDING CORP.’s. Escrow Account.” Any check payable other than to the Escrow Agent as required hereby shall be returned to the prospective purchaser, or if the Escrow Agent has insufficient information to do so, then to the applicable Selling Agent (together with any Subscription Information, as defined below or other documents delivered therewith) by noon of the next business day following receipt of such check by the Escrow Agent, and such check shall be deemed not to have been delivered to the Escrow Agent pursuant to the terms of this Agreement.
