Common use of Parties to Contract Clause in Contracts

Parties to Contract. Any contract described in this Section 5.1 may be entered into with any person, although one or more of the Trustees, officers or Shareholders of the Trust may be an officer, director, trustee, shareholder, or member of such other party to the contract, or otherwise interested in such contract, and no such contract shall be invalidated or rendered void or voidable by reason of the existence of any such relationship. No person having such a relationship shall be disqualified from voting on or executing the same in his capacity as Shareholder and/or Trustee or be liable merely by reason of such relationship for any loss or expense to the Trust with respect to such a contract or accountable for any profit realized directly or indirectly therefrom, provided that the contract when entered into was not inconsistent with this Declaration or the By-laws.
