Common use of PacifiCorp Clause in Contracts

PacifiCorp. On the terms and subject to the conditions set forth in this Agreement, from and after the Closing, ▇▇▇▇▇▇▇▇▇▇ hereby agrees to indemnify, defend and hold harmless Idaho Power and its Affiliates and Representatives from and against, and shall reimburse Idaho Power with respect to, all Losses, whether or not involving a third-party Claim, resulting from or arising out of or in connection with: (i) the breach in any material respect of any representation or warranty made by PacifiCorp in this Agreement; (ii) the breach in any material respect by PacifiCorp of any covenant or agreement contained in this Agreement to be performed by PacifiCorp (other than with respect to the PacifiCorp Excluded Liabilities); or (iii) the PacifiCorp Excluded Liabilities.

PacifiCorp.
