OWNERSHIP; TRANSFERABILITY. ClearBlue is the legal and beneficial owner of the NaviSite Shares, free and clear of any Encumbrance or restriction on transfer, other than (i) restrictions under the Act and (ii) restrictions reflected in a legend on the certificates representing the NaviSite Shares.
OWNERSHIP; TRANSFERABILITY. If this is a tax-qualified contract, you may not sell, assign, discount or pledge this contract as collateral for a loan or to secure the performance of any obligation or for any purpose to any person other than to us, to the Annuitant, or to a trustee or other person exercising ownership rights solely by reason of the terms of a pension or profit-sharing plan or trust qualified under the Code. You may not transfer this contract if it is an IRA, except to your spouse incident to a divorce. We will not allow a change of ownership or an assignment that, in our sole opinion, could result in the transfer of any rights or benefits payable under this contract to a person, entity, or trust that does not have an insurable interest in the life of the Annuitant at the time of the requested change of ownership or assignment.
OWNERSHIP; TRANSFERABILITY. AHIT is the legal and beneficial owner of the AHIT Shares, free and clear of any Encumbrance or restriction on transfer (and shall remain free and clear until the Closing), other than restrictions under the Act, or restrictions reflected in a legend on the certificates representing the AHIT Shares.
OWNERSHIP; TRANSFERABILITY. AmericaTowne is the legal and beneficial owner of the AmericaTowne Shares, free and clear of any Encumbrance or restriction on transfer (and shall remain free and clear until the Closing), other than restrictions under the Act, or restrictions reflected in a legend on the certificates representing the AmericaTowne Shares.
OWNERSHIP; TRANSFERABILITY. Yilaime is the legal and beneficial owner of the Yilaime Shares, free and clear of any Encumbrance or restriction on transfer (and shall remain free and clear until the Closing), other than restrictions under the Act, or restrictions reflected in a legend on the certificates representing the Yilaime Shares.
OWNERSHIP; TRANSFERABILITY. HPFS is the legal and beneficial owner of the ClearBlue Shares, free and clear of any Encumbrance or restriction on transfer, other than (i) restrictions under the Act, (ii) restrictions reflected in a legend on the certificates representing the ClearBlue Shares, and (iii) restrictions under that certain Shareholders Agreement dated September 11, 2002, by and among HPFS, ClearBlue Atlantic, LLC, a Delaware limited liability company ("CBA"), ClearBlue and CMGI, Inc. (the "ClearBlue Shareholders Agreement").
OWNERSHIP; TRANSFERABILITY. RTC is the legal and beneficial owner of the RTC Shares, free and clear of any Encumbrance or restriction on transfer, other than (i) restrictions under the Act, and (ii) restrictions reflected in a legend on the certificates representing the RTC Shares.
OWNERSHIP; TRANSFERABILITY. The Strasburg Members are the legal and beneficial owners of the Strasburg Units, free and clear of any Encumbrance or restriction on transfer, other than (i) restrictions under the Act, (ii) restrictions reflected in a legend on the certificates representing the Strasburg Units, and (iii) restrictions under that certain Amended and Restated Operating Agreement dated January 1, 2018 (“Strasburg Operating Agreement”).
OWNERSHIP; TRANSFERABILITY. Global NV is the legal and beneficial owner of the Global NV Shares and has the requisite authority to issue the contemplated founder shares in Global NV, free and clear of any Encumbrance or restriction on transfer, other than (i) restrictions under the Act and (ii) restrictions reflected in a legend on the certificates representing the Strasburg Units.
OWNERSHIP; TRANSFERABILITY. Martin is the legal and beneficial owner of the ClearBlue Shares, free xxx xlear of any Encumbrance or restriction on transfer, other than (i) restrictions under the Act and (ii) restrictions reflected in a legend on the certificates representing the ClearBlue Shares.
