Overall Commitment to Quality Sample Clauses
The Overall Commitment to Quality clause establishes the parties' mutual obligation to maintain high standards in the performance of their contractual duties. It typically requires that all goods, services, or deliverables meet specified quality benchmarks, and may reference industry standards or agreed-upon criteria for evaluation. This clause ensures that both parties are aligned in their expectations regarding quality, reducing the risk of disputes over subpar performance and promoting consistent, reliable outcomes throughout the contract term.
Overall Commitment to Quality. Licensee shall maintain the distinctiveness of the Trademarks and the image and high quality of the goods bearing the Trademarks. The Licensed Products shall at all times be at least commensurate with the reputation, image and prestige of the Trademarks and be of high quality as to workmanship, construction, appearance, fabrication, design and materials used therein and generally associated with the Licensor's and its other licensee's goods bearing the Trademarks (collectively “Quality”), and shall be at least equal in Quality to the samples of Licensed Products submitted by Licensee and approved in writing in advance by Licensor pursuant to Paragraph 6.3 hereof.

Aerin LLC will maintain the distinctiveness of the Licensed Trademarks and Aerin Lifestyle Brand and maintain a prestige image and the high quality of the goods bearing them, whether manufactured and sold by Aerin LLC or its Affiliates or Lifestyle Licensees. Aerin LLC agrees that it will ensure that all products bearing Licensed Trademarks (other than Licensed Products, for which EL is responsible) will be of high quality as to workmanship, design and materials used therein, will be at least generally equal in quality to products sold under the Other Prestige Trademarks, and will be distributed exclusively through Prestige Retailers.
b. EL will ensure that all Licensed Products, Packaging, and A&P Materials utilizing the Licensed Trademarks will comply with the samples approved by Aerin LLC and high quality standards. EL agrees that Licensed Products will be of high quality as to workmanship, design and materials used therein, and will be at least equal in quality, workmanship, appearance, design and materials to the samples of Licensed Products submitted by EL and approved by Aerin LLC pursuant to Article 5.

Licensee will use its commercially reasonable good faith efforts to maintain the distinctiveness of the Trademarks and the image and quality of the goods bearing Trademarks presently manufactured and sold by Sweetface and its other sublicensees. Licensee agrees that Licensed Products will be of high quality as to workmanship, fit, design and materials used therein, and will be at least equal in quality, workmanship, appearance, fit, design and material (collectively "Quality") to the samples of Licensed Products submitted by Licensee and approved by Sweetface pursuant to Paragraph 6.3 hereof.

Licensee agrees that Extension Products and Manufactured Products will be of high quality as to workmanship, fit, design and materials used therein, and will be at least equal in quality, workmanship, appearance, fit, design and material (collectively "Quality") to the samples of Extension Products and Manufactured Products submitted by Licensee and approved by Hilfiger pursuant to Paragraph 6.3 hereof.
