Outstanding Orders and Subcontracts. Upon the request of Owner or Owner’s Representative, Contractor shall promptly deliver to Owner copies of outstanding purchase orders and subcontracts of Contractor for materials, equipment and service for the Work, and shall take such action relative to such purchase orders and subcontracts as may be directed by Owner or Owner’s Representative. Contractor shall use its best efforts to utilize the material, labor and equipment in such a manner as to mitigate costs associated with suspension.

Outstanding Orders and Subcontracts. Upon receipt of said notice, Contractor shall advise Owner or Owner's Representative of its outstanding orders and subcontracts pertaining to performance of the terminated Work and, upon request, furnish Owner or Owner's Representative with complete copies. Contractor shall place no further orders or subcontracts for materials, equipment, services, or facilities, except as may be necessary for completion of such portion of the Work as is not terminated; Contractor shall promptly make every reasonable effort to procure cancellation, upon terms satisfactory to Owner, of all orders and subcontracts to the extent they relate to the performance of the Work terminated; or, as directed by Owner or Owner's Representative, shall assign to it in form satisfactory to Owner such of its subcontracts and orders as are designated by Owner or Owner's Representative, or shall take such other action relative to such subcontracts or orders as may be directed by Owner.

  • Assignment and Subcontracting City and Consultant recognize and agree that this Agreement contemplates personal performance by Consultant and is based upon a determination of Consultant’s unique personal competence, experience, and specialized personal knowledge. Moreover, a substantial inducement to City for entering into this Agreement was and is the professional reputation and competence of Consultant. Consultant may not assign this Agreement or any interest therein without the prior written approval of the City.   • Subcontracts and Staff 4.1 The Contractor is fully responsible for satisfactory completion of all work on this Contract. The Contractor shall ensure and provide assurances to the Department or Customer upon request, that any subcontractor(s) or Staff provided under this Contract has the necessary qualifications and abilities to perform in accordance with the terms and conditions of this Contract. The Contractor must provide the Customer with the names of Staff considered for work on a purchase order issued under this Contract. The Customer shall retain the right to reject any Staff whose qualifications or performance, in the Customer’s exclusive judgment, is insufficient.
