Common use of Other Officers Clause in Contracts

Other Officers. In addition to the Executive Officers elected by the Board of Managers pursuant to Section 10(a), the Chairman and Chief Executive Officer and the President and Chief Operating Officer may from time to time appoint such other officers of the Company, including Vice Presidents, Assistant Vice Presidents, Staff Vice Presidents, Assistant Secretaries, Assistant Treasurers and Controllers, as the interests of the Company may require (the “Other Officers”); provided, however, that no Other Officer may be appointed to the office of Chairman Emeritus, Vice Chairman, Executive Vice President, Senior Vice President, Secretary or Treasurer. Each appointment of an Other Officer shall be in writing and shall set forth the duties of the Other Officer being appointed and, subject to Section 10(c), such officer’s term of office.

Any such position filled by an Other Officer is referred to in this Agreement as an "Other Office".
