Common use of Other Interests Clause in Contracts

Other Interests. It is understood that Trustees, officers and shareholders of the Fund are or may be or become interested in the Administrator as trustees, officers, employees, shareholders or otherwise and that trustees, officers, employees and shareholders of the Administrator are or may be or become similarly interested in the Fund, and that the Administrator may be or become interested in the Fund as a shareholder or otherwise. It is also understood that trustees, officers, employees and shareholders of the Administrator may be or become interested (as directors, trustees, officers, employees, stockholders or otherwise) in other companies or entities (including, without limitation, other investment companies) that the Administrator may organize, sponsor or acquire, or with which it may merge or consolidate, and that the Administrator or its subsidiaries or affiliates may enter into advisory, management or administration agreements or other contracts or relationship with such other companies or entities.

Other Interests. It is understood that Trustees, officers and shareholders of the Fund are or may be or become interested in the Administrator as trustees, officers, employees, shareholders or otherwise and that trustees, officers, employees and shareholders of the Administrator are or may be or become similarly interested in the Fund, and that the Administrator may be or become interested in the Fund as a shareholder or otherwise. It is also understood that trustees, officers, employees and shareholders of the Administrator may be or become interested (as directors, trustees, officers, employees, stockholders or otherwise) in other companies or entities (including, without limitation, other investment companies) that which the Administrator may organize, sponsor or acquire, or with which it may merge or consolidate, and that the Administrator or its subsidiaries or affiliates may enter into advisory, management or administration agreements or other contracts or relationship with such other companies or entities.

It is also understood that trustees, officers, employees and shareholders of the Administrator may be or become interested (as directors, trustees, officers, employees, stockholders or otherwise) in other companies or entities (including, without limitation, other investment companies) that which the Administrator may organize, sponsor or acquire, or with which it may merge or consolidate, and that the Administrator or its subsidiaries or affiliates may enter into advisory, management or administration agreements or other contracts or relationship with such other companies or entities.

It is also understood that trustees, officers, employees and shareholders of the Administrator Adviser may be or become interested (as directors, trustees, officers, employees, stockholders shareholders or otherwise) in other companies or entities (including, without limitation, other investment companies) that which the Administrator Adviser or ▇▇▇▇▇ ▇▇▇▇▇ Management may organize, sponsor or acquire, or with which it may merge or consolidate, and that the Administrator Adviser or its subsidiaries or affiliates may enter into advisory, advisory or management or administration agreements or other contracts or relationship relationships with such other companies or entities.

Other Interests. It is understood that Trustees, officers and shareholders of the each Fund are or may be or become interested in the Administrator ▇▇▇▇▇▇ as trusteesdirectors, officers, employees, shareholders or otherwise and that trusteesdirectors, officers, employees and shareholders of the Administrator ▇▇▇▇▇▇ are or may be or become similarly interested in the Fund, and that the Administrator ▇▇▇▇▇▇ may be or become interested in the Fund as a shareholder or otherwise. It is also understood that trusteesdirectors, officers, employees and shareholders of the Administrator ▇▇▇▇▇▇ may be or become interested (as directors, trustees, officers, employees, stockholders shareholders or otherwise) in other companies or entities (including, without limitation, other investment companies) that the Administrator which ▇▇▇▇▇▇ or Winthrop may organize, sponsor or acquire, or with which it ▇▇▇▇▇▇ or Winthrop may merge or consolidate, and that the Administrator ▇▇▇▇▇▇ or its subsidiaries or affiliates may enter into advisory, advisory or management or administration agreements or other contracts or relationship relationships with such other companies or entities.

Other Interests. It is understood that Trustees, Trustees and officers and shareholders of the Fund Trust and Holders of Interests in the Trust are or may be or become interested in the Administrator Adviser as trustees, officers, employees, shareholders or otherwise and that trustees, officers, employees officers and shareholders of the Administrator Adviser are or may be or become similarly interested in the FundTrust, and that the Administrator Adviser may be or become interested in the Fund Trust as a shareholder Holder or otherwise. It is also understood that trustees, officers, employees and shareholders of the Administrator Adviser may be or become interested (as directors, trustees, officers, employees, stockholders shareholders or otherwise) in other companies or entities (including, without limitation, other investment companies) that which the Administrator may organizeAdviser or Eaton Vance Management m▇▇ ▇▇▇▇▇▇▇▇, sponsor or acquire, or with which it may merge or consolidate, and that the Administrator Adviser or its subsidiaries or affiliates may enter into advisory, advisory or management or administration agreements or other contracts or relationship relationships with such other companies or entities.

Other Interests. It is understood that Trustees, officers and shareholders of the Fund Trust or the Funds are or may be or become interested in the Administrator as trustees, officers, employees, shareholders or otherwise and that trustees, officers, employees and shareholders of the Administrator are or may be or become similarly interested in the FundTrust, and that the Administrator may be or become interested in the Fund Trust or the Funds as a shareholder or otherwise. It is also understood that trustees, officers, employees and shareholders of the Administrator may be or become interested (as directors, trustees, officers, employees, stockholders or otherwise) in other companies or entities (including, without limitation, other investment companies) that which the Administrator may organize, sponsor or acquire, or with which it may merge or consolidate, and that the Administrator or its subsidiaries or affiliates may enter into advisory, management or administration agreements or other contracts or relationship relationships with such other companies or entities.
