Other Conditions and Documents. Such other customary approvals, opinions, documents or materials relating to corporate matters as the Agents may reasonably request. Notwithstanding the foregoing, Sections 1.01(b) of this Amendment shall not be effective until the opening of business in New York on the Business Day on which the Administrative Agent has notified the Company and the Banks that the Administrative Agent has received executed counterpart signature pages of this Amendment from each Bank and upon satisfaction of all other conditions set forth in this Section 2.
