Except as provided in the Investors Rights Agreement dated July 18, 1996 the Company is not, pursuant to the terms of any other agreement currently m existence, under any obligation to register under the 1933 Act any of its presently outstanding securities or any of its securities which may hereafter be issued.

Except as provided set forth in this Warrant Agreement and in the Investors Registration Rights Agreement dated July 18as of May 7, 1996 1996, the Company is not, pursuant to the terms of any other agreement currently m in existence, under any obligation to register under the 1933 Act any of its presently outstanding securities or any of its securities which may hereafter be issued.

Other Commitments to Register Securities. Except as provided set forth in this Warrant Agreement and in the Investors Registration Rights Agreement dated July 18February 8, 1996 1994, as amended, the Company is not, pursuant to the terms of any other agreement currently m in existence, under any obligation to register under the 1933 Act any of its presently outstanding securities or any of its securities which may hereafter be issued.

Except as provided set forth in this Warrant Agreement and in the Investors Registration Rights Agreement dated July 18as of January 20, 1996 1995, as amended, the Company is not, pursuant to the terms of any other agreement currently m in existence, under any obligation to register under the 1933 Act any of its presently outstanding securities or any of its securities which may hereafter be issued.

Except as provided in the Investors Rights Agreement dated July 18, 1996 the Company is not, pursuant to the terms of any other agreement currently m in existence, under any obligation to register under the 1933 Act any of its presently outstanding securities or any of its securities which may hereafter be issued.

Except as provided set forth in the Investors that certain Second Amended and Restated Investors’ Rights Agreement dated July 18as of January 5, 1996 2000, the Company is not, pursuant to the terms of any other agreement currently m in existence, under any obligation to register under the 1933 Act any of its presently outstanding securities or any of its securities which may hereafter be issued.

Other Commitments to Register Securities. Except As of the Effective Date, except as provided set forth in the Investors this Warrant Agreement and its Registration Rights Agreement dated July 18with current holders of its Preferred Stock, 1996 the Company is not, pursuant to the terms of any other agreement currently m in existence, under any obligation to register under the 1933 Act any of its presently outstanding securities or any of its securities which may hereafter be issued.

Other Commitments to Register Securities. Except as provided set forth in the Investors Investors’ Rights Agreement dated July 18November 19, 1996 1999 among the Company and certain of its Securityholders (the “Investors’ Rights Agreement”) and the Warrantholder in this Warrant Agreement, the Company is not, pursuant to the terms of any other agreement currently m in existence, under any obligation to register under the 1933 Act any of its presently outstanding securities or any of its securities which may hereafter be issued.

Except as provided set forth in this Warrant Agreement, and the Investors Amended and Restated Investors' Rights Agreement dated July 18as of May 17, 1996 the Company is not, pursuant to the terms of any other agreement currently m in existence, under any obligation to register under the 1933 Act any of its presently outstanding securities or any of its securities which may hereafter be issued.
