Common use of OTC-BB Quotation Clause in Contracts

OTC-BB Quotation. The GDI Common Stock is registered pursuant to Section 12(g) of the Exchange Act and is quoted on the Over the Counter Bulletin Board (the "OTC-BB"), and GDI has taken no action designed to, or likely to have the effect of, terminating the registration of the GDI Common Stock under the Exchange Act or terminating the quotation of the GDI Common Stock from the OTC-BB, nor to the Company's knowledge is the OTC-BB currently contemplating terminating such quotation. GDI and the GDI Common Stock meet and GDI will use best efforts to ensure that GDI and the GDI Common Stock continue to meet the criteria for continued quotation on the OTC-BB.
