Organization and Performance. Generator is a limited liability company duly organized, validly existing and in good standing under the laws of the Commonwealth of Virginia. But for the passage of time, Generator has no knowledge of any facts or circumstances that would materially adversely affect Generator’s ability to perform its obligations hereunder.
