Common use of Opinion of Intellectual Property Counsel for the Company Clause in Contracts

Opinion of Intellectual Property Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of Sxxxxx Pxxxxx Bxxxx, counsel for the Company with respect to certain intellectual property matters, dated as of such date, in the form and substance satisfactory to the Representatives.

Opinion of Intellectual Property Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Representatives Representative shall have received the opinion of Sxxxxx Pxxxxx BxxxxXxxxxxx Xxxxxxxxx, counsel for the Company with respect to certain intellectual property matters, dated as of such date, in the form of which is attached as Exhibit B (and substance satisfactory to the RepresentativesRepresentative shall have received an additional signed copy of such counsel’s legal opinion for each of the other several Underwriters).

On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of Sxxxxx Pxxxxx BxxxxXxxxxxxxx Xxxxxxxx & Xxxxxxxx, P.A., counsel for the Company with respect to certain intellectual property matters, dated as of such date, in the form and substance reasonably satisfactory to the RepresentativesRepresentatives and counsel for the Underwriters.
