Opinion of Intellectual Property Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of Xxxxxxx Xxxxx, S.C., counsel for the Company with respect to intellectual property matters, dated as of such date, the form of which is attached as Exhibit B (and the Representatives shall have received an additional signed copy of such counsel’s legal opinion for each of the other several Underwriters).

Opinion of Intellectual Property Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion opinions of XxXxxxxxx Xxxxxxx XxxxxXxxxxxx & Xxxxxxxx LLP and Wood, S.C.Phillips, Xxxx, Xxxxx & Mortimer, counsel for the Company with respect to intellectual property matters, dated as of such date, in the form of which is forms attached hereto as Exhibit B (Exhibits D-1 and the Representatives shall have received an additional signed copy of such counsel’s legal opinion for each of the other several Underwriters)D-2.
