Opinion of Counsel of the Company. On the Commencement Date and, if specified in any Terms Agreement, on the Settlement Date therefor, the Agent shall have received the favorable opinion dated as of the Commencement Date or such Settlement Date, as the case may be, of legal counsel for the Company, in form and substance satisfactory to Counsel for the Agent, to the effect that:
Opinion of Counsel of the Company. The Purchaser shall have received an opinion from Steel Hector & Davis LLP, counsel to the Company, dated the Preferred Closing Xxxx xnd xxxxxantially in the form of Exhibit B, and an opinion from Lionel Sawyer & Collins, Nevada counsel to the Company, dated the Common Xxxxxxx Xxxx in xxxx xorm as may be reasonably acceptable to the Purchaser.
Opinion of Counsel of the Company. The favorable opinion of Gxxxxxxxx Txxxxxx Hxxxxxx Lxxxxx Rxxxx &Quentel P.A., counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(b) hereof.
Opinion of Counsel of the Company. Weil Gotshal & Manges, LLP, xxxxxxx fox xxx Company, shall have furnished to Buyer its written opinion, dated the Closing Date, substantially in the form attached as Exhibit C.
Opinion of Counsel of the Company. Purchaser shall have received from Xxxxxx & Xxxxx, LLP, counsel to the Company, an opinion dated the Closing Date, in the form attached hereto as Exhibit G (“Company Legal Opinion”).
Opinion of Counsel of the Company. Xxxxxxx X. Xxxxxxx, III, Vice President, Corporate Secretary and Deputy General Counsel of the Company, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex B hereto.
Opinion of Counsel of the Company. The Company shall have received an opinion from John K. Rosenberg, counsel of the Purchaser, dated the Common Closxxx Xxxx xxx xxxxtantially in the form of Exhibit H.
Opinion of Counsel of the Company. Mxxx Xxxxxxxxxx, Chief Counsel – Securities and Corporate Finance of the Company, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex B hereto.
Opinion of Counsel of the Company. Matthews & Branscomb, counsel xor xxx Xxxxxny, shall have furnished to Buyer its written opinion, dated the Closing Date, substantially in the form attached as EXHIBIT D.
Opinion of Counsel of the Company. The Payee shall have received an opinion, dated the Closing Date, from outside counsel to the Company, in connection with the transactions contemplated by this Agreement as to (i) the Company's power and authority, (ii) due authorization, execution and delivery, (iii) enforceability, (iv) usury and (v) non- contravention of laws, regulations or (to such counsel's knowledge) orders, in form and substance reasonably satisfactory to the Payee.
