Opinion of Counsel for the Offerors. On the Closing Date, the Placement Agent and the Purchaser shall have received the favorable opinion, dated as of the Closing Date, of Dykema Gossett PLLC, special counsel for the Offerors, in substantialxx xxx xxxx xxt out in Annex A hereto, in form and substance reasonably satisfactory to counsel for the Placement Agent.
