Operator's Acknowledgments Clause Samples
Operator's Acknowledgments. (a) Operator acknowledges that Owner is relying on the representations, warranties and covenants of Operator as set out in the Hotel Agreements in connection with Owner entering into and fulfilling its obligations under this Agreement.
(b) Owner would suffer substantial damages, would be irreparably harmed and would not have an adequate remedy at law in the event that this Agreement is wrongfully terminated by Operator. Accordingly, Operator agrees that Owner and Parent shall be entitled to seek injunctive relief to prevent a wrongful termination of this Agreement by Operator in addition to any other remedy which Owner and Parent may be entitled to at law or in equity under this Agreement. Operator further agrees to indemnify and hold Owner and Parent and any of their respective officers, directors, employees or agents harmless from and against any loss of any kind or nature arising out of a wrongful termination of this Agreement by Operator.
